1. Agreement to Terms

By accessing or using the services of Wonred Labs LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

4. Intellectual Property

4.1 Our Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, and software, are owned by Wonred Labs LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

4.2 Client Intellectual Property

Subject to the terms of a separate service agreement, any intellectual property developed specifically for you as part of a custom project will be assigned to you upon full payment, unless otherwise agreed in writing.

4.3 License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes, subject to these Terms.

5. Service Agreements

When you engage us for professional services, a separate service agreement will be executed that will govern the specific terms of that engagement, including:

• Scope of work and deliverables
• Timeline and milestones
• Pricing and payment terms
• Intellectual property rights
• Confidentiality obligations
• Warranties and limitations of liability

In the event of a conflict between these Terms and a service agreement, the service agreement will control with respect to that specific engagement.

6. Payment Terms

Payment terms for our services will be specified in your service agreement. Generally:

• Payment is due according to the schedule specified in your service agreement
• Late payments may incur interest charges as specified in the agreement
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified in writing

7. Warranties and Disclaimers

7.1 No Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 Service Availability

We do not guarantee that our services will be uninterrupted, secure, or error-free. We may experience hardware, software, or other problems or need to perform maintenance related to our services.

8. Limitation of Liability

To the maximum extent permitted by law, Wonred Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any conduct or content of third parties on our services
• Any unauthorized access to or use of our servers or data
• Any interruption or cessation of transmission to or from our services

Our total liability to you for all claims arising from or related to our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Wonred Labs LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services or violation of these Terms.

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use our services will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Mississippi, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Jackson, Mississippi.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our services and supersede and replace any prior agreements.
